Powersports manufacturer seeks ‘stalking horse bid’ ahead of potential sale

A well-known U.S. powersports manufacturer and distributor with a network of more than 300 dealers has begun a strategic review and is seeking a stalking horse bid for the acquisition of its operating assets. The bid deadline is January 15, 2026.

The company, which remains confidential without an NDA, produces on-road motorcycles, dirt bikes, electric off-road vehicles, UTVs, and a full line of parts and accessories. It currently generates more than $10 million in annual revenue and has historically scaled to more than $65 million. Its strengths include overseas manufacturing partnerships, a nationwide dealer footprint, efficient logistics, and an experienced management team.

A stalking horse bid is designed to set the minimum purchase price in a court-supervised or structured auction. The initial bidder agrees to serve as the baseline offer and, in exchange, may receive bid protections such as breakup fees or expense reimbursement if a higher offer ultimately wins. This structure gives the seller a secure floor price while encouraging competitive bidding from additional buyers.
