Bad Toys Completes Purchase
Bad Toys Holdings, Inc., has completed the purchase of the motorcycle assets of American Eagle Manufacturing Company, Inc., Carlsbad, Calif. Under the asset purchase agreement, Bad Toys purchased all of the American Eagle’s assets used in the custom motorcycle manufacturing business. In exchange for the assets, Bad Toys will issue 1,818,182 shares of its common stock to American Eagle. Bad Toys will also assume all of the liabilities of the American Eagle that are related to the American Eagle motorcycle manufacturing business. American Eagle Manufacturing Company, Inc. manufactures custom high-end performance motorcycles at the company’s 35,000 sq. ft. production facility in Carlsbad.
